Terms of Service

🔔 Important: Vasl is an emotional health support platform, not a crisis service. If you are in immediate danger, call 911 or the 988 Suicide & Crisis Lifeline (call or text 988). These Terms apply to your use of Vasl and form a binding legal agreement between you and Vasl Health, Inc.

1. Acceptance of Terms

By creating an account, accessing, or using the Vasl Health platform (“Vasl,” “the Platform,” or “the Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

If you are under 18, your parent, guardian, or enrolling organization must have consented to these Terms on your behalf. By using the Platform, you represent that this consent has been obtained.

If you are accessing Vasl as a licensed therapist, certified coach, or organizational administrator, additional terms from your professional services agreement or organizational contract also apply and govern where they conflict with these Terms.

2. What Vasl Is (and Is Not)

⚠ Vasl is not an emergency service. If you or someone you know is in immediate danger, call 911. For mental health crises, call or text 988 (Suicide & Crisis Lifeline). Vasl is a support platform, not a substitute for emergency care.

What Vasl provides

  • Moderated peer support communities organized around shared experiences
  • Text-based support from certified behavioral health coaches
  • Teletherapy sessions with licensed mental health professionals
  • Wellbeing assessments and mood tracking tools
  • Educational resources related to mental health and wellness
  • An AI-assisted clinical monitoring system for use by licensed clinical staff (not members)

What Vasl does not provide

  • Emergency or crisis intervention services
  • Psychiatric medication management or prescriptions
  • Inpatient or residential mental health treatment
  • A substitute for calling 911 or emergency services
  • Medical diagnosis of any condition
  • Legal, financial, or medical advice outside of licensed clinical services

Peer support groups and certified coaches are not a substitute for licensed clinical care. They are complementary supports offered alongside, not instead of, professional mental health treatment where clinically indicated.

3. Eligibility

To use Vasl as a member, you must:

  • Be at least 13 years of age
  • Be enrolled through a partner organization with an active Vasl subscription, or be directly contracted with Vasl Health, Inc.
  • Reside in a jurisdiction where Vasl provides services
  • Not have been previously banned from the Platform for violations of these Terms

Members aged 13–17 must have consent from a parent, legal guardian, or enrolling institution as required by applicable law. Partner organizations are responsible for obtaining appropriate consents from members and their guardians in accordance with applicable law including COPPA, FERPA, and state minors’ consent statutes.

To serve as a licensed therapist on Vasl, you must hold a valid, unrestricted license to practice in the member’s state of residence and meet all credentialing requirements set by Vasl Health.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Update your information promptly if it changes
  • Use a strong, unique password and not share it with anyone
  • Notify us immediately at support@gotovasl.com if you suspect unauthorized access to your account
  • Not create more than one account per person
  • Not create an account on behalf of another person without their consent

Vasl is not liable for losses resulting from unauthorized account access where you have not taken reasonable security precautions or where you have shared your credentials.

5. Acceptable Use

You agree to use Vasl only for lawful purposes and in ways consistent with its intended function as a mental health support platform. You agree not to:

  • Post content that is threatening, harassing, discriminatory, or harmful to other members
  • Share content that glorifies, promotes, or provides instructions for self-harm or suicide
  • Post content that is sexually explicit, pornographic, or exploitative, particularly involving minors
  • Attempt to access another member’s account, data, or private communications without authorization
  • Use the Platform to collect personal information about other members without their consent
  • Interfere with the Platform’s technical operation, including through bots, scrapers, or denial-of-service attacks
  • Misrepresent yourself as a licensed clinician, Vasl staff member, or any other person
  • Use the Platform for commercial solicitation, advertising, or fundraising without Vasl’s written consent
  • Attempt to defeat, circumvent, or test the AI safety systems on the Platform
  • Violate any applicable law or regulation in your use of the Platform

Violations may result in content removal, suspension, or permanent termination of your account, and may be reported to law enforcement where required.

6. Community Standards

Vasl peer groups are built on the following community standards, which all members agree to uphold:

  • Respect: Treat all community members with dignity regardless of their background, identity, or experiences
  • Confidentiality: What is shared in group stays in group. Do not share other members’ stories or identifiable information outside the Platform
  • Safety: Do not post content that could put yourself or others at risk. If someone appears to be in crisis, use the in-app “Share Concern” feature rather than responding yourself
  • Authenticity: Be yourself. Fake profiles and impersonation are not permitted
  • No unsolicited advice: Unless explicitly asked, offer support rather than solutions. This is a peer community, not a therapy group
  • No solicitation: Do not promote products, services, or other platforms to community members

Group moderators and Vasl staff may remove content that violates these standards. Repeated or serious violations may result in removal from groups or the Platform.

7. AI Features & Clinical Decision Support

The Vasl AI Language Analysis Platform (VLAP) is a clinical decision support tool. By using the Platform and providing consent during onboarding, you acknowledge and agree that:

  • Your text content may be analyzed by VLAP to identify potential distress signals for clinical staff review
  • VLAP output is reviewed by licensed clinical professionals and does not result in automated actions
  • VLAP does not diagnose any medical or mental health condition
  • You will never see your own AI risk score, flag, or signal data through the member-facing platform
  • You may withdraw consent for AI analysis at any time, which will result in deletion of all AI-generated data about you within 24 hours

Vasl makes no warranty that VLAP will detect all instances of distress or crisis. AI analysis is a supplement to, not a replacement for, human clinical judgment. Vasl is not liable for harm resulting from signals that were not detected by VLAP.

8. Clinical Services

Relationship with therapists

Licensed therapists on Vasl are independent professionals, not employees of Vasl Health, Inc. (unless explicitly stated in your service agreement). Vasl facilitates the clinical relationship but is not the provider of licensed clinical services. The therapist-client relationship is governed by applicable professional licensing law and the therapist’s professional obligations.

Limitations of teletherapy

Teletherapy has specific limitations compared to in-person care. Your therapist will discuss these with you. In particular, teletherapy may not be appropriate during active psychiatric emergencies, and your therapist may refer you to in-person services if clinically indicated.

Continuity of care

Vasl does not guarantee continuous availability of any specific therapist. If your therapist leaves the platform, Vasl will make reasonable efforts to facilitate a warm referral to another qualified clinician. Your clinical records will remain accessible to you for transition purposes.

Mandatory reporting

Licensed therapists on Vasl are subject to mandatory reporting obligations under state law, including duty to report suspected child abuse and duty to warn in cases of credible threats to identifiable third parties. These obligations exist independent of and take precedence over any confidentiality protections.

9. Partner Organization Terms

If you access Vasl through a partner organization (university, YMCA, community org), the following applies:

  • Your partner organization has contracted with Vasl to provide access to the Platform as a benefit or service. The organization pays for access; you do not.
  • Your partner organization does not have access to your individual records, session content, or AI signals. They receive only anonymized aggregate population reports.
  • Your partner organization may have additional policies that govern your use of the Platform as part of their services. Vasl is not responsible for those policies.
  • If your enrollment through a partner organization ends (e.g., graduation, termination of membership), your access to the Platform may be suspended. Vasl will provide at least 30 days notice of access termination where possible.
  • Clinical records created during your enrollment remain accessible to you for transitions of care, subject to applicable retention requirements.

10. Intellectual Property

Vasl’s property

The Vasl platform, including its software, design, AI models, clinical signal taxonomy, training methodology, trademarks, and all content created by Vasl, is owned by Vasl Health, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

Your content

You retain ownership of content you post to the Platform (peer group posts, journal entries, etc.). By posting content, you grant Vasl a limited, non-exclusive license to use that content to operate the service — for example, to display it in peer groups or process it through VLAP. We do not claim ownership of your content and will not use it for commercial purposes or AI training without your separate explicit consent.

Feedback

If you submit feedback or suggestions about the Platform, you grant Vasl the right to use that feedback without restriction or compensation to you.

11. Privacy & Health Information

Your use of Vasl is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes in detail how we collect, use, and protect your personal and health information, including your rights under HIPAA and applicable state law.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, AZADI IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AZADI MAKES NO WARRANTY THAT:

  • The Platform will be available at all times or free of errors or interruptions
  • The AI system will detect all instances of distress or crisis
  • Clinical services will achieve any particular outcome for any individual member
  • The Platform will meet your specific mental health needs

NOTHING IN THESE TERMS LIMITS AZADI’S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AZADI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

AZADI’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOUR ORGANIZATION FOR YOUR ACCESS IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM AZADI’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR TO ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Some jurisdictions do not permit limitation of liability for personal injury or certain types of damages. In those jurisdictions, Vasl’s liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vasl Health, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any law or third-party rights; or (c) content you submit to the Platform that infringes any third-party intellectual property or violates any third-party rights.

15. Dispute Resolution & Arbitration

Informal resolution

Before initiating any formal dispute, you agree to contact Vasl at legal@gotovasl.com and attempt to resolve the dispute informally. We will make good-faith efforts to resolve your concern within 30 days.

Binding arbitration

If informal resolution fails, any dispute arising from these Terms or your use of Vasl will be resolved through binding arbitration under the American Arbitration Association’s Consumer Arbitration Rules, rather than in court, except for small claims court matters and injunctive relief claims. The arbitration will take place in Los Angeles County, California, or remotely at your option.

Class action waiver

You and Vasl agree to resolve disputes only on an individual basis and not as part of a class, consolidated, or representative action. If this waiver is found to be unenforceable, the arbitration clause above does not apply.

Exceptions

Nothing in this section prevents you from filing complaints with government agencies, including the HHS Office for Civil Rights for HIPAA complaints.

16. Termination

Termination by you

You may close your account at any time through the app settings or by emailing support@gotovasl.com. Account closure will take effect within 5 business days. Your personal data will be handled in accordance with our Privacy Policy and applicable retention requirements.

Termination by Vasl

Vasl may suspend or terminate your access to the Platform if:

  • You violate these Terms or the Community Standards
  • Your partner organization’s subscription ends
  • We determine, in our reasonable judgment, that your continued access poses a safety risk to you or other members
  • We cease to operate the Platform

We will provide reasonable notice of termination except where immediate termination is necessary for safety or legal compliance. If your account is terminated for violations, you may not create a new account without our written consent.

Effect of termination

Upon termination, your right to use the Platform ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 10, 12, 13, 14, and 15) will survive.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email and in-app notification before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

If we make changes that materially reduce your rights or increase your obligations, you may close your account before the effective date without penalty.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. For disputes not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Los Angeles County, California.

If you are located outside the United States, you may have additional rights under local law. Nothing in these Terms is intended to limit rights that cannot be waived under applicable law in your jurisdiction.
